Advertiser Terms and Conditions: advertising escort services on Want Escorts

Please read these terms carefully before you register to use the Services.

These terms and conditions of use (the Terms) govern how you use the Services offered on the Site. They form a binding contract between you and Want Escorts Ltd (Want Escorts, we, us or our), so it is important that you read them in full before using the Services.

Key terms used in this document

• You and your mean the person registering as an advertiser (also called the Advertiser or Escort).
• Users means the other people who use the Site, including people who view or respond to advertisements.
• Services means the publication and display of your advertisement on the Site, as described in section 2.
• Advertiser Content has the meaning given in section 6.

1. Accepting these Terms

By registering to use the Services, you confirm that you have had enough opportunity to read and understand these Terms and that you agree to be bound by them. You acknowledge and agree that these Terms include the Website Terms of Use, the Privacy Policy and the Replacement and Refund Policy.

You warrant that you are at least 18 years old and legally capable of entering into this agreement. Want Escorts specifically prohibits minors from using the Site.

If you do not agree to these Terms, you must not access or otherwise use the Site.

2. What we provide (Scope of Services)

We run an online platform that publishes and displays advertising for prostitution services and social escort services in Australia. When you register as an advertiser on the Site, we publish and display your advertisement (the Services), subject to these Terms.

We are simply an advertising platform. Want Escorts does not become a party to any communication, post, promise or proposal between you and Users of the Site, or to any contract or transaction that results from them.

Want Escorts cannot ensure or guarantee that a User of the Site will complete a contract or transaction. Before contracting with Users you must carry out your own independent due diligence, and you must put safety procedures in place while dealing with them.

You release Want Escorts (and its affiliates, officers, directors, agents, subsidiaries, joint venturers and employees) from all claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with any dispute you may have with any User of the Site, whether at law or in equity. This includes, without limitation, disputes about the performance of any obligation of those Users and payment for any services provided.

3. Your account and security

When you register for the Services you receive a user account and password. You must keep these details confidential and must not disclose them to any third party. If you have reason to believe someone has obtained your account details or password without your consent, you must tell us immediately so that we can disable your account.

We are not liable for any loss connected with your account being compromised or your personal information being made public. You acknowledge and agree that all advertisements are public, and that you are responsible for any information you choose to display publicly in your advertisement.

We may disable any account or password at any time if we consider that you have not complied with any provision of these Terms.

By registering with the Site and using the Services, you agree that all the information you give during registration is true and accurate, and that you will update it regularly to keep it current and complete.

4. Advertisement types and fees

The amounts below are in Australian dollars and do not include GST.

• Standard advertisements start from $100.00 for an advertising period of 28 days.
• Featured advertisements start from $60.00 for an advertising period of 7 days.
• You may also choose to pay for a longer advertising period of 84 days.
• Additional Boosts can be bought at any time for $25.00.

An advertising period starts on the date you pay for your advertisement.

Boosts

A Boost does not extend your advertising period. It places your advertisement in the State carousel as one of the last 10 paid advertisers in a State-based location.

Changes to advertisement types and fees

We may update our advertisement types and fees from time to time, at our sole discretion. We will tell advertisers about any change 14 days before it takes effect, either by posting a notice on the Site or by sending a message to any address (email or otherwise) we hold for advertisers in our records.

5. Payments

Want Escorts must receive your payment before your advertisement is published and displayed on the Site.

Want Escorts will notify you before your advertising period expires so that you can choose whether to buy a further advertising period. If you choose not to, Want Escorts may remove your advertisement from the Site until you buy a further advertising period.

Want Escorts may, at our option, offer you a free advertising period as part of a promotional campaign. If we do, we will tell you when the complimentary period starts and ends.

All payments are made through the relevant payment gateways. Want Escorts is not responsible for, and has no control over, any third-party payment gateway. You acknowledge and agree that Want Escorts is not liable for any loss or damage arising from the use of a third-party payment gateway. We recommend that you read and understand the terms and conditions of any third-party payment gateway before you use it.

6. Advertiser Content

Advertiser Content means any information or content you include in an advertisement. You must not include any Advertiser Content:

• that you do not own;
• that would cause you or us to breach any law, regulation, rule, code or other legal obligation;
• that is, or could reasonably be considered to be, obscene, inappropriate, defamatory, disparaging, indecent, seditious, offensive, pornographic, threatening, abusive, likely to incite racial hatred, discriminatory, blasphemous, in breach of confidence or in breach of privacy;
• that is unsolicited, undisclosed or unauthorised advertising; or
• that infringes the intellectual property or other rights of any person.

You agree to keep all the records needed to show that your Advertiser Content meets the requirements above, and to make those records available when we reasonably ask for them.

Any opinion, advice, statement, service, offer or other information in Advertiser Content is that of the advertiser concerned, not of Want Escorts.

Ownership and the licence you give us

You keep ownership of your intellectual property in your Advertiser Content (including artistic works such as the photographs and images you upload).

You grant Want Escorts a royalty-free, sub-licensable, transferable, perpetual, irrevocable, non-exclusive, worldwide licence to use, reproduce, publish, edit, translate, distribute, publicly perform, publicly display and make derivative works of all your Advertiser Content in connection with providing the Services. This includes, without limitation, promoting and redistributing part or all of the Site (and derivative works) in any media format and through any media channel.

You also grant each User of the Site a non-exclusive licence to access and view your Advertiser Content through the Site.

The licences to Want Escorts and to each User of the Site end within a commercially reasonable time after you or Want Escorts removes the Advertiser Content from the Site.

Permission to report unauthorised copies of your Advertiser Profile

You give Want Escorts permission and a licence to engage any suitably qualified body corporate to remove any unauthorised copy of your Advertiser Content that infringes your copyright or has the effect of impersonating you.

Our right to remove or edit content

If you breach these Terms, we may remove your Advertiser Content or end any advertisement at any time without notice. Our decision is final. We also reserve the right (but take on no obligation) to edit, retract or delete any Advertiser Content that we consider unacceptable or inappropriate, or for any other reason, which we disclose at our discretion and convenience.

Your responsibilities

You are responsible for every aspect of producing your Advertiser Content, and you must comply with the terms in section 8 (Prohibited Use) below.

All Advertiser Content is subject to any restrictions that apply in each relevant State or Territory. If you are unsure what you can and cannot include in your advertisement, see the rules for each State and Territory.

We moderate Advertiser Content in line with section 7 (Moderation Timeframes) below before an advertisement is published and displayed on the Site.

7. Moderation Timeframes

All new standard and featured advertisements, and all changes to them, are moderated 24 hours a day, except on gazetted Australian public holidays. These timeframes are estimates only. Want Escorts does not guarantee them and is not liable for any loss or damage caused by delays in the moderation process.

8. Prohibited Use

In addition to the Prohibited Use set out in the Website Terms of Use, the following conduct and use are prohibited for advertisers:

• failing to comply with the requirements in section 6 (Advertiser Content);
• using the Services while you are a minor;
• posting or transmitting any material or information that is offensive, defamatory, obscene, unlawful, vulgar, harmful, threatening, abusive, harassing or ethnically objectionable;
• creating any advertisement or Advertiser Content that is fraudulent or defamatory, or that infringes any intellectual property rights, confidentiality or privacy of any person;
• impersonating another person or entity, or falsifying or deleting any attribution, legal or other proper notice, or proprietary designation or label showing the origin or source of any material;
• posting or transmitting any material or information that is out of date, inaccurate or misleading; or
• posting or transmitting any unsolicited advertising or promotional material.

You must tell us about any conduct you believe is prohibited conduct or use under these Terms by emailing [email protected]. Want Escorts reserves the right, at its option, to take any remedial action, for example editing, retracting or deleting any content or advertising content, or suspending or terminating access to the Site or Services.

9. Disclaimer

This disclaimer of liability applies to any damage, injury or death caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction, or unauthorised access to, alteration of or use of records, in connection with the use or operation of the Site or Services, whether for breach of contract, tortious behaviour, negligence or any other cause of action.

Want Escorts makes no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, suitability or availability of the Services for any purpose. Any reliance you place on such information is therefore strictly at your own risk.

What we do not warrant

We do not warrant:

• that any Advertiser Content you submit to the Site will be protected against loss, misuse or alteration by third parties;
• any specific or guaranteed distribution, or extent of distribution, of your advertisements; or
• the accuracy, adequacy or completeness of Advertiser Content, and we do not undertake to keep Advertiser Content up to date. We do not accept responsibility for any loss you suffer from relying on the accuracy or currency of information on the Site or in the Services.

10. Want Escorts Intellectual Property

Want Escorts operates the Site under licence and holds a licence to all intellectual property rights in the Site (text, graphics, logos, icons, sound recordings, software and trade marks), excluding Advertiser Content. Nothing in these Terms transfers any intellectual property rights from Want Escorts to you.

You must not adapt, reproduce, store, distribute, print, display, perform, publish or create derivative works from any part of the Site, or commercialise any information, products or services obtained from any part of the Site, without Want Escorts’s prior written consent.

You may use the Site only as we authorise. As an advertiser, you are granted a limited, non-exclusive, revocable, non-transferable right to display your Advertiser Content on the Site as part of the Services, subject to these Terms.

You must not use any of our intellectual property:

• in any Advertiser Content;
• in or as the whole or part of your own trade marks;
• in connection with activities, products or services that are not ours;
• in a way that may be confusing, misleading or deceptive; or
• in a way that disparages us or our information, products or services (including the Site).

11. Limitation of Liability and Indemnity

Limitation of liability

You agree that we are not liable for any damages you suffer as a result of using the Site or Services. In no event are we liable for any indirect, punitive, special, incidental or consequential damage (including loss of business, revenue, profits, use, privacy, data, goodwill or other economic advantage), however it arises, whether for breach of contract or in tort, even if we have been told in advance that such damage is possible.

We do not endorse any of your Advertiser Content and we expressly disclaim all liability in connection with it. We do not confirm or verify Advertiser Content. In no event are we liable for any claim by a User or any third party under the Competition and Consumer Act 2010 (Cth), including but not limited to any misleading or deceptive statement or misrepresentation in any Advertiser Content. You alone are responsible for making sure the data you enter into your Advertiser Content is accurate.

You alone are responsible for adequate security protection and backup of the data and equipment you use with the Site and Services. You will not make any claim against Want Escorts for lost data, re-run time, inaccurate instructions, work delays or lost profits resulting from use of the Site or Services.

Your indemnity

As a condition of accessing and using the Site and Services, you agree to defend, hold harmless and indemnify Want Escorts and its successors and assigns against all damages, costs, expenses and other liabilities (including but not limited to legal fees and expenses) relating to any claim arising out of or related to:

• your access to and use of the Site and Services, including any payment obligations incurred through use of the Services;
• your breach of these Terms, of any applicable law or of the rights of another person or party;
• any breach of contract or other claim between Users and advertisers; or
• any liability arising from the tax treatment of payments or any part of them.

This indemnity continues after these Terms expire or end.

Implied conditions and warranties

To the extent permitted by law, any condition or warranty that would otherwise be implied into these Terms is excluded. Where legislation implies a condition or warranty and prohibits us from excluding or modifying it, or our liability under it, that condition or warranty is treated as included. However, Want Escorts’s liability is limited to the terms of our Replacement and Refund Policy.

12. Restricted Use

Unless we agree otherwise in writing, you are given access to the Site for your personal use only. You may print a copy of any information on the Site for your personal use, unless printing is expressly prohibited. Without limiting the above, you must not on-sell information obtained from the Site or through the Services without our written permission.

13. Termination

We may terminate or suspend your access to the Site at any time without notice.

If we believe you have breached these Terms or any applicable law, we will remove your advertisements from the Site and send you a notice explaining why your advertisement was removed. You may reply to that notice, and we will decide, at our sole discretion, whether to lift the suspension or termination.

We are not liable to you or any third party for any claim or damages arising from any termination or suspension, or from any other action we take in connection with these Terms.

If applicable law requires us to give notice of termination or cancellation, we may give that notice before or after the event, by posting it on the Site or by sending a message to any address (email or otherwise) we hold for you in our records.

Breaches of these Terms may be prosecuted to the fullest extent of the law and may result in additional penalties and sanctions.

14. Governing Law

These Terms are governed by the laws in force in the State of Queensland. If the State of Queensland does not have jurisdiction to hear a matter relating to this agreement, the laws of the Commonwealth of Australia apply. You agree to submit to the exclusive jurisdiction of the courts of that jurisdiction.

15. General

• Circumstances beyond our control: we accept no liability for any failure to comply with these Terms where the failure is caused by circumstances beyond our reasonable control.
• No waiver: if we waive any of our rights under these Terms on one occasion, those rights are not automatically waived on any other occasion.
• Severability: if any of these Terms is held to be invalid, unenforceable or illegal for any reason, the remaining terms continue in full force.
• Entire agreement: these Terms, and the documents expressly referred to in them, form the entire agreement between you and Want Escorts. They replace all earlier discussions, correspondence, negotiations, arrangements, understandings and agreements between us relating to the Site and Services.
• No reliance: we each acknowledge that, in entering into these Terms, neither of us relies on any representation or warranty that is not set out in these Terms, and neither of us will have any remedy for one.
• Assignment: we may assign or sublicense our rights or obligations under these Terms at any time without your consent.

16. Updates to these Terms

We may amend these Terms from time to time at our sole discretion. Changes will be posted on the Site and take effect immediately, unless we say otherwise.

It is your sole responsibility to check these Terms regularly for changes. If you do not agree to a change, you must stop using the Site immediately. If you keep using the Site and Services, you are taken to have accepted the change.
